1. Acceptance of Terms

By accessing or using MemoForge (“Service”), operated by Lukas Pfannschmidt (“we”, “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

MemoForge is an AI-powered flashcard and learning platform that:

• Converts documents (PDF, Word, PowerPoint), images, YouTube videos, and web content into interactive flashcards using AI
• Provides spaced repetition learning (FSRS algorithm) with multiple study modes
• Offers AI-powered study features including typed-answer practice, card reformulation for difficult cards, and session coaching
• Provides exam readiness estimation based on your review history
• Exports flashcards in Anki-compatible format

AI-Generated Content

MemoForge uses AI (currently Google Gemini) to generate flashcards, reformulate difficult cards, and produce study coaching summaries. Important:

• AI-generated content is produced automatically without human review and may contain errors, inaccuracies, or inappropriate suggestions
• You should verify AI-generated content against authoritative sources, especially for exam preparation
• AI-generated content created from your inputs (flashcards, reformulations) is considered your content
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content

Exam Readiness Feature

MemoForge's exam readiness feature provides a rough estimate of your preparedness based on your flashcard review history. This is a statistical approximation, not a prediction. It does not account for exam format, time pressure, material not covered by your flashcards, or other factors. Do not rely solely on this score to determine your exam readiness. MemoForge is a study aid, not an exam prediction service.

3. Account Registration

• You must be at least 16 years old to create an account
• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You must not share your account credentials or allow others to access your account
• One account per person is allowed
• You are responsible for all activities that occur under your account

4. Acceptable Use

Permitted Uses

• Creating flashcards for personal learning and education
• Using the service for language learning, exam preparation, and study
• Uploading documents you own or have permission to process
• Sharing generated flashcards with classmates for non-commercial purposes

Prohibited Uses

• Uploading copyrighted material without permission
• Generating content that is illegal, harmful, or offensive
• Attempting to reverse engineer or copy our AI models or software
• Using bots, scrapers, or automated tools to access the service beyond normal browser use
• Reselling, redistributing, or commercially exploiting generated content at scale
• Sharing your account credentials or Pro subscription access with others
• Uploading malicious files or attempting to compromise our systems
• Circumventing usage limits or feature restrictions

Fair Use

AI-powered study features (Card Rescue, Session Insights) are intended for personal learning. We reserve the right to throttle or temporarily restrict access if usage patterns significantly exceed normal personal study use. We will notify you before taking any restrictive action.

5. Billing and Payments

Credit Packs

MemoForge offers one-time credit packs for document processing. Credits are consumed when you upload documents and generate flashcards. Credits do not expire as long as your account is active. Credit pack purchases are non-refundable once credits have been used.

Pro Subscription

MemoForge offers a Pro subscription that provides access to premium study features. Current pricing is displayed on our pricing page.

• Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price. You can cancel auto-renewal at any time from your account settings
• Separate from credits: A Pro subscription provides access to premium study features. Document processing (uploading files and generating flashcards) is billed separately through credit packs, regardless of subscription status
• Price changes: We may change subscription prices with at least 30 days' notice by email. Changes take effect at the start of your next billing cycle. If you disagree, you may cancel before the change takes effect
• Failed payments: If a payment fails, we will retry over several days. If all retries fail, your subscription will be paused and Pro features will be unavailable until payment is resolved. Your data is never deleted due to payment issues

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You retain access to Pro features until the paid period ends. After cancellation, your account reverts to the free tier — your data and flashcards remain accessible.

Right of Withdrawal (Widerrufsrecht)

If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason. To exercise this right, contact us at [email protected]. By starting to use Pro features immediately after purchase, you expressly consent to the service beginning before the withdrawal period expires and acknowledge that you lose your right of withdrawal once the service has been provided during the withdrawal period.

6. Content and Intellectual Property

Your Content

• You retain ownership of documents you upload and flashcards you create
• AI-generated content derived from your materials (flashcards, reformulations, translations) is considered your content
• You grant us permission to process your content solely to provide the service
• You are responsible for the legality of your uploaded content
• We may remove content that violates these terms

Our Content

• MemoForge software, AI models, and algorithms are our property
• You may not copy, modify, or distribute our software
• Our trademarks and brand elements are protected

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. This includes information about how we process your data through AI services (Google Gemini) and your rights under the GDPR.

8. Service Availability and Changes

• We strive for high availability but cannot guarantee uninterrupted service
• We may perform maintenance with advance notice when possible
• We continuously improve MemoForge and may add, modify, or remove features
• If we permanently remove a material Pro feature, we will provide at least 30 days' notice. You may cancel your subscription without penalty if you disagree with the change

9. Disclaimers and Limitations

To the extent permitted by applicable law:

• The service is provided “as is” without warranties regarding reliability, accuracy, or fitness for a particular purpose
• AI-generated content may contain errors. We are not liable for decisions made based on AI-generated flashcards, coaching, or readiness estimates
• We shall not be liable for indirect, incidental, or consequential damages arising from your use of the service
• Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months preceding the claim
• These limitations do not affect your statutory rights as a consumer under EU law

10. Termination

Termination by You

You may delete your account at any time from your account settings. Upon deletion, your data will be permanently removed in accordance with our Privacy Policy.

Termination by Us

We may suspend or terminate your account if you materially violate these Terms, engage in fraudulent activity, or abuse the service. We will provide notice and an opportunity to resolve the issue where reasonable, except in cases of severe violations.

11. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany.

If you are a consumer in the European Union, you retain all mandatory consumer protections provided by the law of your country of residence. Any disputes may be brought before the competent courts of your place of residence.

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but will consider doing so on a case-by-case basis.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on our website. Your continued use of the service after changes constitutes acceptance of the new Terms. If you disagree with changes, you may cancel your account.
